TERMS OF SERVICE AND DISTRIBUTION
TERMS OF SERVICE AND DISTRIBUTION - AREA AGENCIES ON AGING
SERVICES (Provided by Ways 2 Wellness, LLC)
Create custom-branded publications designed for promotional use in marketing and/or engagement in senior services. The digital service includes all publications created by Ways 2 Wellness on a recurring monthly basis for this service application.
DELIVERY FORMAT
1. Monthly Print-On-Location PDFs delivered with Direct Download Links.
2. Print Book delivery of customized, promotional activity books (32pp, color covers) designed for seniors.
3. Custom informational inserts included in print books
4. Clients may choose to receive bulk books in multiple shipments based on their needs. Each shipment to each destination must be a quantity greater than 100 books. All deliveries under this agreement must be placed within 12 months of payment.
SERVICE DURATION
12 Months from Submission of Payment.
DIGITAL DISTRIBUTION RIGHTS
All publications delivered may be printed and physically distributed to members/clients of the Area Agency on Aging. This includes but is not limited to nutrition assistance recipients, family caregivers, and other recipients of government-funded senior service programs offered across the coverage area. PDFs produced under this service agreement MAY be sent digitally via email or direct message to members. PDFs produced under this service agreement MAY be distributed by “partner” organizations (e.g., Senior Centers) for distribution to their clients or members receiving services funded by the Area Agency on Aging. PDFs produced under this service agreement MAY NOT be made available for download on the public-facing internet.
DIGITAL STORAGE RIGHTS
Your PDFs may be stored on an internal or company-wide server.
PRINT DISTRIBUTION RIGHTS
Clients may use/distribute/sell print books in any manner they wish.
COPYRIGHT/OWNERSHIP
Ways 2 Wellness retains copyright and ownership of the activity contents (e.g., puzzle and coloring pages). The Client retains all legal copyright to and exclusive control over all branded elements in the publications, including their logo and all promotional pages that describe services or products delivered by the Client. This Agreement does NOT give Ways 2 Wellness LLC the right to use or distribute the Client’s logo or promotional information (collected to deliver the services under this Agreement) outside of the process required to produce the publications/service.
TERMINATION
Either party may terminate the Agreement upon 30 days written notice. If the Service Provider terminates the Agreement, the Service Provider shall reimburse the Client for any remaining months of the contract. If the Client terminates the Agreement, the Service Provider will continue to provide access to the services until the end of the Service Duration.
CONFIDENTIALITY
Both parties agree to keep confidential any information obtained while delivering the service, including but not limited to client lists, pricing information, and trade secrets.
TERMS OF PRINT SERVICE AND DISTRIBUTION - SENIOR RESIDENTIAL BRANDS
PRINT SERVICES (Provided by Ways 2 Wellness, LLC)
Create custom-branded print publications designed for promotional use in marketing and/or engagement in senior services.
PRINT FORMAT
Printed books (32pp each. Color Covers. 70# internal B&W pages)
SERVICE DURATION
Brands have 12 months from submission of payment to submit requests for book production/delivery.
LOCATIONS INCLUDED
All locations operated under the brand.
DISTRIBUTION RIGHTS
All publications delivered may be physically distributed or sold to residents, families, and prospective residents.
COPYRIGHT/OWNERSHIP
Ways 2 Wellness retains copyright and ownership of the activity contents (e.g., puzzle and coloring pages). The Client retains all legal copyright to and exclusive control over all elements in the publications, including their logo and all promotional pages that describe services or products delivered by the Client. This Agreement does NOT give Ways 2 Wellness LLC the right to use or distribute the Client’s logo or promotional information (collected to deliver the services under this Agreement) outside of the process required to produce the publications/service. Clients may NOT digitize content delivered in print book form, nor make “printable” digital assets created from the books available on the public internet. “Puzzle Mockups” used to showcase the puzzles and activities on social media are allowable.
TERMINATION
Either party may terminate the Agreement upon 30 days written notice. If the Service Provider terminates the Agreement, the Service Provider shall reimburse the Client for any remaining books not delivered. If the Client terminates the Agreement, the Service Provider will continue to provide access to the services until the end of the Service Duration.
CONFIDENTIALITY
